1. Introduction
These Terms of Service ("Terms") govern your access to and use of the services, websites, and applications provided by Fly My Cloud Ltd ("Fly My Cloud," "we," "us," or "our"). Fly My Cloud Ltd is a company registered in England and Wales. We operate on a strictly Business-to-Business (B2B) model.
By accessing or using our services, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access our services.
2. B2B Services Only
Our services are provided exclusively to businesses and corporate entities. By engaging with our services, you represent and warrant that you are acting on behalf of a registered business entity and are authorized to bind that entity to these Terms. Consumer rights (such as cooling-off periods under consumer protection regulations) do not apply to our services.
3. Services Provided
Fly My Cloud Ltd provides AI consultancy services and SaaS products (such as Context Guard). The specific scope, deliverables, and fees for our consultancy services or SaaS subscriptions will be detailed in separate Statements of Work (SOWs), Order Forms, or service agreements executed between Fly My Cloud Ltd and your organization.
4. Client Responsibilities
You agree to provide us with all necessary access, information, and cooperation required for us to deliver the services. You remain solely responsible for the legality, accuracy, and quality of any data, content, or materials you provide to us or process using our services.
5. Intellectual Property
Unless otherwise explicitly agreed in a separate Statement of Work, Fly My Cloud Ltd retains all intellectual property rights, title, and interest in and to all methodologies, tools, software, algorithms, and pre-existing materials used or developed during the provision of services.
6. Limitation of Liability
Notice: Please read this section carefully as it limits our liability.
To the maximum extent permitted by applicable law in England and Wales, Fly My Cloud Ltd, its directors, employees, partners, agents, suppliers, or affiliates, shall not be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- your access to or use of or inability to access or use the Service;
- any conduct or content of any third party on the Service;
- any content obtained from the Service; and
- unauthorized access, use or alteration of your transmissions or content.
In no event shall Fly My Cloud Ltd's total aggregate liability to you for all claims arising out of or relating to these Terms or your use of the services exceed the total amount paid by your organization to Fly My Cloud Ltd in the twelve (12) months preceding the event giving rise to the liability.
7. Warranties and Disclaimers
Our services are provided on an "AS IS" and "AS AVAILABLE" basis. Fly My Cloud Ltd makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.
Specifically concerning AI outcomes, we do not warrant that the results of AI models or systems will be entirely accurate, reliable, or error-free.
8. Governing Law and Jurisdiction
These Terms shall be governed and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
9. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
